General Terms and Conditions

VENTURELINK MEMBERSHIP DEFINITIONS ● Community vs. Flex vs. Full Desk: o Community: For community members, you will have access to seating on a first-come, first-served basis (no more than a half-day per month) and a conference room (no more than one hour per month) during NJIT business hours of 8:30 AM to 4:30 PM. o Flex: For flex members, you will have access to seating on a first-come, first-served basis (no more than two days per week) and a conference room (no more than two hours per month) during NJIT business hours of 8:30 AM to 4:30 PM. o Full Desk: For full desk members, NJIT will designate a desk for your sole use but reserves the right to relocate you to another desk upon ten (10) days’ notice. You will also have access to a conference room for no more than four hours per month. Full desk members will have 24/7 access to the facilities. ● VentureLink membership includes Internet access and mailing services; neither telephonic nor printing services are offered at this time. VentureLink membership also includes use of a conference room for the periods of time specified above. If additional use of a conference room is needed, NJIT can make a conference room available to you for an additional cost. All such usage will be scheduled in advance and documented in a separate agreement. ● Each individual identified on the Detail Page will receive a swipe card to access the facilities. These swipe cards remain NJII property at all times, and they must be immediately returned upon termination or expiration of membership.

By signing below, you, both personally and on behalf of your corporate entity, if any, agree to the terms and conditions specified in the Detail Page and the Terms and Conditions, attached hereto and incorporated herein (collectively, the “Agreement”). Further, you will assure compliance with the terms of this Agreement by all occupants associated with your membership. This Agreement will be effective as of the date of last signature below. In the event of any conflict, the Terms and Conditions shall prevail.

VentureLink Desk Membership - Terms and Conditions

Welcome to VentureLink! The below terms and conditions describe the rights and obligations of New Jersey Institute of Technology on behalf of VentureLink (“NJIT”) and you in connection with your use of the coworking space, community resources, Internet connectivity, mail delivery and/or other services made available to you as part of your VentureLink membership (collectively, the “Services”). This Agreement (defined below) does not create a tenancy interest or other real property interest, but, rather, NJIT is granting you a non-exclusive license to use the Services.

Services. Subject to the terms and conditions herein and the “Detail Page” to which these terms and conditions are attached (collectively, the “Agreement”), NJIT hereby grants you access to the Services for the duration of the period specified on the Detail Page. In the unlikely event that NJIT is unable to provide access to the Services on the start date identified on the Detail Page, you agree that the start date of the Services will be automatically postponed by a period not to exceed one week and NJII will not be liable to you for any damages resulting from such delay. If after one-week NJIT has not provided access to the Services, you have the right to terminate this Agreement and be entitled to a full refund of fees prepaid.

Use of Services. You shall utilize the Services for general office use only and in accordance with the “House Rules,” incorporated herein by reference, as well as all applicable laws, regulations and requirements of the Federal, State and City Government. You shall not commit, or suffer to be committed, any nuisance nor bring on NJIT premises any toxic, acutely hazardous, corrosive, radioactive, ignitable and/or biological materials, substances and/or chemicals.

Payment. You shall pay all membership fees in advance by the first day of each calendar month. Payments may be made by check/money order payable to “NJIT-VentureLink” and forwarded to VentureLink, 211 Warren Street, #102, Newark, New Jersey 07103. If automated electronic payment (e.g. ACH, credit or debit card) is utilized to pay membership fees, you authorize NJIT to collect these payments by virtue of executing this Agreement. All late payments incur a late charge and service fee of five percent (5%) of the monthly membership fee owed. Except as provided herein, there are no refunds of any fees or other amounts paid by you in connection with the Services.

Termination. This Agreement will automatically renew on a month-to-month basis as of the renewal date identified on the Detail Page, unless you provide notice of non-renewal. Either party may terminate this Agreement for cause or convenience on thirty (30) days prior written notice; such termination will be effective as of the end of the next calendar month. NJIT reserves the right to terminate this Agreement and cease providing the Services at any time, immediately and without notice, if you fail to comply with this Agreement, including non-payment of fees, and/or the House Rules. In the event of such termination by NJIT, NJIT will not be required to refund any fees.

Confidential and Proprietary Information. You understand that the Services include access to coworking space and there is an inherent risk of exposure of your confidential and/or proprietary information (“information”) to third parties. Accordingly, you accept all risks associated therewith and NJII will not be liable for any exposure of your information to third parties present in the coworking space. Further, you must not take copy or use any third party’s information.

Property. NJIT is not responsible for any property left behind in its premises, and you are solely responsible for securing your property and/or retrieving your property prior to leaving. While not a requirement, it is strongly encouraged for you to carry and maintain insurance to protect your property. Any property left behind in NJIT premises will be disposed of, and you waive any claims or demands regarding such property.

Alterations, Damage. You are not permitted to make any alterations, additions or improvements to NJIT premises, and any such alterations, additions or improvements will be considered damage. You are liable (and hereby authorize us to charge you) for all the repair cost of any damage to NJIT premises caused by you, your employees, guests, invitees or agents.

Warranties and Representations. Each party warrants that it has the right and power to enter into this Agreement and an authorized representative has executed this Agreement. NJII PROVIDES THE SERVICES “AS-IS” AND EXPRESSLY DISCLAIMS ALL OTHER REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY TO THE EXTENT PERMITTED BY LAW, AND FURTHER NJII EXPRESSLY EXCLUDES ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY TO THE EXTENT PERMITTED BY LAW.

Non-Liability of NJIT. In all events, you shall assume all risk of injury or damage to or loss of any property arising from your use of the Services, whatever the cause of such injury, damage or loss, including NJIT’s negligence. In no event will NJIT have any liability for consequential, exemplary, special, incidental or punitive damages including, without limitation, lost profits and opportunity or claims for such damages by you. In any event, the liability of NJIT for any reason and upon any cause of action shall be limited to the amount of fees received under this Agreement.

Indemnification. You shall indemnify and hold NJIT harmless against any third-party claim, including costs and reasonable attorney’s fees, in which it is named as a result of the negligent or intentional acts or failure to act by you, your employees, guests, invitees or agents, arising directly or indirectly out of your use of the Services, which result in death, personal injury or tangible property damage. This indemnification obligation shall survive the termination and/or expiration of this Agreement.

Notice. All notices or other communications shall be made in writing and shall be deemed given to the other party if delivered receipt confirmed. Pricing and fee changes, if any, will be effective upon the date identified in the notice provided by NJIT (no less than thirty days).

Disputes. This Agreement shall be construed and governed by the laws of the State of New Jersey, excluding its choice of law principles, with all disputes venued in Essex County. Should any term or condition of this Agreement be illegal or not enforceable, it or they shall be considered severable, and the remainder of this Agreement shall remain in force and be binding upon the parties as though the severed provisions had never been included. All rights and remedies of NJIT described herein are not intended to be exclusive but as additional to all rights and remedies NJIT would otherwise have by law.

Force Majeure. Neither party shall be liable for any failure to perform its obligations (excluding payment of membership fees) under this Agreement if prevented from doing so by a cause or causes beyond its control including, without limitation, acts of God or public enemy, failure of suppliers to perform, fire, floods, storms, earthquakes, riots, strikes, war and restraints of government.

Entire Agreement. This Agreement contains the entire understanding between the parties and may only be amended or modified by a writing signed by a duly authorized representative of each party. The Agreement shall not be assigned by you without the prior written consent of NJIT.

House Rules

Cultivating the Community. VentureLink seeks to be a collegial, collaborative community where members can work, learn and grow; creating this environment requires your participation. Be mindful of the following: ● All members must conduct themselves in a professional manner treating everyone with respect and keeping noise to a minimum level. ● All activities should be conducted in the workspace area; the common areas (stairs, halls, elevators) are to be used for egress/ingress only and be kept free of any obstructions. ● The coffee mess and kitchenette area are available for use by all members. While light cleaning services will be provided, you remain responsible for cleaning up after yourself (please do not leave dirty dishes in the sink) and maintaining your area in a clean and tidy manner.

Acceptable Uses. The facilities and services provided are for general office use only and you must not perform any activity or cause an activity to be performed that is disruptive, dangerous, illegal, immoral or objectionable.

Occupancy. No more than the number of occupants specified on the Detail Page may access the coworking space at the same time. While we welcome guests, you must not use the space in any nature that involves frequent use by or visits from members of the public (e.g. retail or medical services), or for residential purposes. All guests must be signed in or otherwise identified to NJIT staff.

Internet. You must use the Internet connection provided responsibly in accordance with all laws, regulations and requirements. You must implement sufficient security procedures to protect your system and data. Additional Internet requirements will be issued on an as-needed basis.

Mail. As a courtesy, NJIT will accept business mail and deliveries on your behalf during regular business hours and they will be stored for no more than ten (10) days from receipt. Use of this service is at your sole risk, and it should not be used for the delivery of merchandise or personal goods, especially those in bulk or oversized packages.

Storage. Do not store currency or valuable goods on premises. Note: individual locked storage is NOT provided at this time. There is to be no installation of personal locks on or about the facilities.

Security. While NJIT may regularly record video in certain public areas, you are responsible for the security of your property and the swipe card provided to you to access the facility. You must not allow anyone else to use your swipe card; any lost swipe cards must be reported to NJIT immediately. You will be responsible for the cost of replacement cards. No Alcohol or Controlled Substances. In accordance with Federal and state law and NJII policy, there must be no unlawful possession, use, distribution, sale, manufacture or consumption of alcohol or controlled substances while on NJIT premises.

No Excessive Utility/Service Consumption. You must not operate any equipment that will cause excessive utility/service usage (e.g. electricity, HVAC, Internet) or strain NJIT’s systems.

Signs. You must not put up any signs in or about the coworking space without NJIT approval.

NJIT Activity. From time to time, NJIT may hold meetings, seminars or other gatherings in the facilities. NJIT will use reasonable efforts to notify you about these events in advance and will seek to minimize disruptions to your activities.

Use of Name and Logo. NJIT may publicly identify your company as a member on NJIT’s website and in other marketing materials. You may identify yourself as a member of VentureLink but will not otherwise cause confusion between yourself and NJIT/VentureLink.

Keeping Each Other Up-to-date. Any time there is a change in your information (e.g. contact, payment or business information), you must promptly notify NJIT. NJIT will notify you of changes (services, fees, house rules and other updates) via email and you are responsible for reading all such notices and ensuring you and your team are aware of these changes.

Revisions. NJIT reserves the right, without prior notice, to modify these House Rules and/or implement other rules and requirements in its sole discretion from time-to-time as needed.
